Terms of service

These Terms of Service ("Terms") govern your access to and use of the LeapSolutions website, the Helios OS platform, Leap Store, LeapTech Academy and any related services (together, the "Services") operated by LeapSolutions ("LeapSolutions", "we", "us"). By accessing the Services you agree to be bound by these Terms.

• You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account.
• You are responsible for keeping your credentials confidential and for all activity under your account.
• Notify us immediately at leapsolutionsiloam@gmail.com of any suspected unauthorised access.

You agree not to:

• Use the Services for any unlawful, harmful, or fraudulent purpose.
• Reverse-engineer, scrape at scale, or attempt to access non-public parts of the Services.
• Interfere with the integrity, security or performance of the Services or other tenants.
• Upload content that infringes third-party rights or violates applicable law.

Project scope, deliverables, timelines, warranties and pricing for engineering, procurement, construction and operations work are set out in the relevant signed proposal, statement of work or Power Purchase Agreement (the "Project Contract"), which prevails over these Terms in case of conflict for that engagement.

• Access to Helios OS is provided on a subscription basis under your order form.
• Subscriptions renew automatically for the same term unless cancelled before the renewal date.
• Fees are exclusive of applicable taxes and are non-refundable except where required by law.

Products listed in Leap Store are subject to availability, lead-time and the applicable purchase order. Title and risk pass on delivery as specified in the order. Warranty terms for hardware follow the manufacturer's published warranty.

The Services, including Helios OS, designs, documentation, code, trademarks and the "LeapSolutions" name, are owned by us or our licensors and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable right to use the Services in accordance with these Terms. You retain ownership of content and data you submit; you grant us a licence to host and process it to operate the Services.

Each party agrees to protect the other's confidential information with the same standard of care it applies to its own confidential information, and to use it only to perform its obligations under these Terms or a Project Contract.

The Services are provided "as is" and "as available". To the maximum extent permitted by law we disclaim all implied warranties including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Services will be uninterrupted or error-free.

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential or punitive damages, or loss of profits, revenue, data or goodwill. Our aggregate liability under these Terms is capped at the fees paid by you for the affected Service in the 12 months preceding the claim.

You agree to indemnify and hold LeapSolutions harmless from any claim arising out of your misuse of the Services, your content, or your breach of these Terms.

We may suspend or terminate your access if you materially breach these Terms, create security or legal risk, or fail to pay fees when due. You may stop using the Services at any time; sections that by their nature should survive termination will survive.

These Terms are governed by the laws of the Federal Republic of Nigeria. The courts of Kaduna shall have exclusive jurisdiction over any dispute, without prejudice to mandatory consumer protections in your country of residence.

We may update these Terms from time to time. Material changes will be highlighted on this page with a new "last updated" date; continued use of the Services constitutes acceptance.
